Terms of Service — Tenreply

These Terms of Service ("Terms") govern your access to and use of the Tenreply platform and related services (collectively, the "Service") provided by Tenreply. By using the Service, you agree to be bound by these Terms.

1. Eligibility and accounts

You must be at least 18 years old and have the legal authority to enter into this agreement. If you use the Service on behalf of a company, you represent that you have authority to bind that company.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately at hello@tenreply.com if you suspect unauthorised access.

2. The Service

Tenreply provides a platform built on the official WhatsApp Business API that enables businesses to manage customer conversations, run automated flows, send broadcasts, and access analytics. The availability of specific features depends on your subscription plan.

The Service requires a valid WhatsApp Business API account through Meta. You are solely responsible for obtaining and maintaining that account in compliance with Meta's policies.

3. Acceptable use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

Use the Service to send spam, unsolicited messages, or messages to contacts who have not opted in
Violate Meta's WhatsApp Business Policy or Commerce Policy
Send prohibited content including illegal content, misinformation, or content that harasses or harms others
Attempt to reverse engineer, decompile, or extract source code from the Service
Use the Service to scrape, harvest, or collect data without permission
Resell or sublicence access to the Service without written permission

Violation of these terms may result in immediate suspension or termination of your account.

4. Subscriptions and billing

The Service is billed on a monthly or annual subscription basis. All fees are stated in USD and are exclusive of applicable taxes. Subscriptions auto-renew unless cancelled before the renewal date.

You can cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. We do not offer refunds for unused periods of a subscription.

We reserve the right to change pricing with 30 days' notice for existing subscribers.

5. Your data

You retain ownership of all data you submit to the Service, including conversation data. By using the Service, you grant us a limited licence to process that data solely to provide the Service. See our Privacy Policy for details.

6. Intellectual property

The Tenreply platform, including all software, designs, and content, is owned by Tenreply and protected by intellectual property laws. These Terms do not grant you any rights in our intellectual property beyond the limited licence to use the Service.

7. Warranties and disclaimers

The Service is provided "as is" without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or meet your specific requirements. Use of the Service is at your own risk.

8. Limitation of liability

To the maximum extent permitted by law, Tenreply shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits or data, arising from your use of the Service. Our total liability to you for any claim shall not exceed the fees you paid in the 12 months preceding the claim.

9. Termination

Either party may terminate this agreement at any time. We may suspend or terminate your access immediately if you violate these Terms or if we are required to do so by law. Upon termination, your right to use the Service ceases immediately.

10. Governing law

These Terms are governed by applicable law. Any disputes shall be resolved through binding arbitration or in the courts of competent jurisdiction.

11. Changes to these Terms

We may update these Terms from time to time. We will notify you of material changes via email or a notice within the Service. Continued use of the Service after changes constitutes acceptance of the new Terms.
